Contracts that close deals instead of slowing them down.
Master agreements, subscription terms, order forms, NDAs, and the playbooks that let your sales team handle most of it without a lawyer in the room.
How we approach it
We spent years inside a software sales organization. We know which clauses actually kill deals and which ones lawyers argue about for sport.
A commercial contract practice for a software company has two jobs. The first is paper: a master services or subscription agreement that protects the company on liability, data, IP, and payment while reading as reasonable to a customer’s procurement team. The second is process: a way for sales to move deals through legal review in hours instead of weeks.
We draft and maintain the template set, including MSAs, SaaS subscription agreements, order forms, statements of work, service level agreements, data processing agreements, and NDAs. We negotiate customer and vendor paper, including enterprise redlines against Fortune 500 procurement forms. And we build contract playbooks: pre-approved fallback positions, so a rep knows what to concede, what to escalate, and what to refuse.
On retainer, we run a live deal desk. Reps post a redline in a shared channel and get an answer the same day.

What people ask us first
- Our reps keep getting stuck on limitation of liability. What do you do about it?
- We set a tiered position in the playbook: a default cap, an approved fallback, and a hard floor that requires escalation. Reps stop guessing and most negotiations end at the fallback.
- Can you work from our existing templates?
- Usually. We review what you have, fix the clauses that cause the most friction, and standardize the set so the order form, MSA, and DPA reference each other correctly.
- What does a deal-desk retainer look like?
- A monthly fee, a shared Slack or email channel, and a commitment on turnaround. Most redlines come back within the business day. Larger negotiations are scoped separately.
